Terms and conditions
Version 2026-02
1. Who we are
These terms and conditions govern the services provided by [COMPANY NAME] ("we", "us", "our"), a company registered in England and Wales under company number [COMPANY NUMBER], with its registered office at [REGISTERED ADDRESS]. Our VAT number is [VAT NUMBER].
You can contact us at [CONTACT EMAIL]. These terms were last updated on [EFFECTIVE DATE].
2. What the service is
We prepare, map and publish product listings to eBay on behalf of sellers. The service includes category mapping to the current eBay Taxonomy, creation and formatting of listing titles, descriptions and item specifics, selection of your stored shipping, payment and return policies, and submission of listings through the eBay Inventory API.
We act as an agent preparing and submitting listings. We do not sell the goods, take payment from buyers, hold stock, or act as the merchant of record. Any sale is made between you and the buyer, and your own eBay seller terms apply to it.
3. Your account
You must keep your sign-in details confidential and tell us promptly if you believe they have been compromised. You are responsible for everything done through your account. We may suspend or close an account that we reasonably believe is being used unlawfully, in breach of these terms, or in a way that risks our eBay developer access.
Where you connect an eBay seller account, you confirm that you are authorised to do so and to grant us the permissions you approve. You may withdraw that authorisation at any time by disconnecting the account; we will then stop submitting listings.
4. Your responsibilities
You are responsible for:
- the accuracy of all product data you supply, including titles, descriptions, images, prices, stock levels, condition and item specifics;
- holding the rights to use the images and text you provide, and to sell the products;
- ensuring your products comply with UK law and with eBay's rules, including any restrictions on the sale of age-restricted, regulated or recalled goods;
- maintaining valid business policies, VAT details and stock levels on eBay;
- answering buyer messages, and handling cancellations, returns and refunds, since the sale is between you and the buyer;
- complying with your own obligations as a seller, including consumer protection and product safety duties.
We are not able to verify the accuracy of data you supply. A listing rejected by eBay, or removed later, remains your responsibility to correct.
5. Fees and payment
Fees are set out in the proposal or order form agreed with you, or on our current price schedule if you are on a monthly plan. Unless stated otherwise, fees are quoted exclusive of VAT, which is charged where applicable. Invoices are payable within 30 days of the invoice date.
eBay's own fees, including final value fees, insertion fees, subscriptions and promoted listing charges, are charged to you by eBay under your seller agreement and are not included in our fees. You remain liable to eBay for those charges.
We may change our fees by giving you at least 30 days' written notice. If you do not accept the change, you may end the agreement before it takes effect.
6. Service levels and availability
We aim to publish listings within two business days of receiving complete and valid data. Timings are estimates, not guarantees, because publishing depends on eBay's systems, which we do not control.
We may need to suspend the service for maintenance, security work, or changes to eBay's APIs or policies. Where reasonably possible we will give advance notice and keep the interruption short.
7. Our obligations
We will:
- provide the service with reasonable skill and care, in line with good industry practice;
- keep your data confidential and use it only to provide the service;
- keep the eBay credentials you give us secure, and revoke them when our engagement ends;
- act promptly on your reasonable instructions about your listings.
8. Intellectual property
You keep all rights in your product data, images and brand. You grant us a licence to use, store, format and transmit that material only as needed to provide the service.
We keep all rights in our software, mappings, templates and documentation. You may not copy or resell them.
9. Liability
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
If you are a business, we are not liable for loss of profit, loss of anticipated sales, loss of goodwill, or any indirect or consequential loss. Our total liability in any twelve-month period is limited to the fees you paid us in that period.
We are not responsible for decisions eBay makes about your listings, including rejection, demotion, removal, account restriction or changes to fees and policies.
10. Termination
Either of us may end the agreement by giving 30 days' written notice. We may end it immediately if you breach these terms and do not remedy the breach within 14 days of notice, become insolvent, or do something that risks our eBay developer access.
On termination we stop submitting listings. Listings already published on eBay remain subject to your seller agreement with eBay; removing them is your responsibility unless we agree otherwise in writing.
11. Changes to these terms
We may update these terms to reflect changes in law, eBay requirements or our service. We will give you notice of any material change. Continuing to use the service after the change takes effect means you accept the updated terms.
12. Complaints and governing law
Please raise any complaint with us first at [CONTACT EMAIL] and we will try to resolve it promptly.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless you are a consumer in Scotland or Northern Ireland, in which case you may also rely on the courts and mandatory protections of your home country.
